Terms of Service

By accessing tecfiq.com or using any TECFIQ software product or service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our website or services.

These Terms apply to all visitors, clients, and others who access or use TECFIQ's website and software services. For SaaS products delivered under a separate client agreement, those agreement terms take precedence over these general Terms where they conflict.

TECFIQ Limited provides software products (SaaS platforms), custom software development services, AI automation workflows, and related technical services to businesses. Our services are described on our website and in any separately executed project agreements.

We reserve the right to modify, suspend, or discontinue any part of our services at any time. Where such changes materially affect active client engagements, we will provide reasonable advance notice.

You agree not to use TECFIQ's website or services to:

- Violate any applicable law or regulation, including those of Bangladesh or the jurisdiction in which you operate - Upload, transmit, or distribute malicious code, viruses, or harmful content - Attempt to gain unauthorised access to our systems, infrastructure, or client data - Reverse-engineer, decompile, or extract the source code of any TECFIQ software product - Reproduce, resell, or sublicense our software products without written authorisation - Impersonate TECFIQ, its employees, or other users

Violation of these terms may result in immediate termination of access and, where applicable, legal action.

All content on tecfiq.com — including text, graphics, logos, product names, interface designs, and software code — is owned by or licensed to TECFIQ Limited and protected by applicable intellectual property laws.

**Client-commissioned work:** For custom software developed under a separate project agreement, intellectual property ownership is governed by that agreement. Unless explicitly stated otherwise in a written agreement, TECFIQ retains ownership of underlying frameworks, reusable components, and proprietary tooling used in delivery.

You may not copy, reproduce, distribute, or create derivative works from TECFIQ's intellectual property without explicit written permission.

Custom software projects are governed by separate project agreements that specify scope, deliverables, timelines, and payment terms. In the absence of a separate agreement, the following defaults apply:

- A deposit of 50% of the agreed project fee is required before work begins - Remaining balance is due on delivery or per agreed milestones - Overdue invoices may accrue interest at the rate permitted under Bangladesh law - TECFIQ reserves the right to pause or terminate work on projects with outstanding payments

All fees are quoted and payable in Bangladeshi Taka (BDT) unless otherwise agreed in writing.

TECFIQ endeavours to maintain reasonable availability of its hosted SaaS products. However, we do not guarantee uninterrupted service and are not liable for:

- Downtime caused by third-party infrastructure providers (hosting, DNS, etc.) - Maintenance windows announced in advance - Events outside our reasonable control (force majeure)

Specific uptime commitments, if any, are stated in individual client service agreements.

To the maximum extent permitted by applicable law, TECFIQ shall not be liable for:

- Indirect, incidental, special, or consequential damages arising from use of our services - Loss of profit, revenue, data, or business opportunity - Damages resulting from third-party service failures (hosting, APIs, integrations)

Our total liability in connection with any claim arising from these Terms or our services shall not exceed the amount paid by you to TECFIQ in the three months preceding the claim.

Nothing in these Terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.

Your use of TECFIQ's services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By agreeing to these Terms, you also agree to our Privacy Policy.

These Terms are governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising from these Terms or your use of TECFIQ's services shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.

We may update these Terms from time to time. When we do, we will update the "Last updated" date. Your continued use of our website or services after changes constitutes acceptance of the revised Terms. We recommend reviewing these Terms periodically.
